Last updated: December 1, 2024

These Terms of Service ("Terms") govern your use of TeamSync's website, products, and services ("Services"). By accessing or using our Services, you agree to these Terms. If you do not agree, please do not use our Services.

1. Account Registration

To use TeamSync, you must create an account with accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must be at least 16 years old to create an account. Organizations must ensure that their users comply with these Terms.

2. Use of Services

You may use TeamSync for lawful purposes only. You agree not to:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights of others
  • Transmit malware, viruses, or harmful code
  • Attempt to gain unauthorized access to our systems
  • Use our Services to send spam or unsolicited communications
  • Reverse engineer, decompile, or disassemble any part of our Services
  • Use automated means to access our Services without permission

3. Your Content

You retain ownership of all content you upload, create, or share through TeamSync ("Your Content"). By using our Services, you grant us a limited license to store, display, and process Your Content solely to provide the Services. We do not claim ownership over Your Content and will not use it for purposes unrelated to the Services.

4. Subscription & Billing

Paid plans are billed in advance on a monthly or annual basis. All fees are non-refundable except where required by law or as specified in our refund policy. We may change pricing with 30 days' notice. You can cancel at any time — access continues until the end of the current billing period. Free plan users may be subject to usage limits as described on our pricing page.

5. Service Availability

We strive to maintain 99.99% uptime but do not guarantee uninterrupted access. We may perform maintenance with reasonable notice. We are not liable for downtime caused by factors beyond our control, including internet outages, natural disasters, or third-party service failures.

6. Intellectual Property

TeamSync and its original content, features, and functionality are owned by TeamSync, Inc. and are protected by international copyright, trademark, and other intellectual property laws. Our trademarks may not be used without prior written consent.

7. Termination

We may suspend or terminate your account if you violate these Terms, with notice when practical. You may delete your account at any time. Upon termination, your right to use the Services ceases immediately. We will retain Your Content for 30 days after termination to allow for export, after which it will be permanently deleted.

8. Limitation of Liability

To the maximum extent permitted by law, TeamSync shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill. Our total liability shall not exceed the amount paid by you in the 12 months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless TeamSync, its officers, directors, and employees from any claims, losses, or damages arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.

10. Governing Law

These Terms are governed by the laws of the State of California, USA, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in San Francisco County, California.

11. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or in-product notification at least 30 days before they take effect. Continued use after changes constitutes acceptance.
