1. Acceptance of Terms

By accessing or using ContractAI's services, you agree to be bound by these Terms of Service. If you are using the service on behalf of an organization, you represent that you have the authority to bind that organization to these terms.

2. Description of Service

ContractAI provides an AI-powered contract lifecycle management platform that includes contract analysis, risk detection, clause extraction, workflow automation, and collaboration tools. The specific features available depend on your subscription plan.

3. Account Responsibilities

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Ensuring your use complies with applicable laws and regulations
  • The accuracy and legality of data you upload to the platform

4. Data Ownership

You retain all rights, title, and interest in your contract data and documents uploaded to ContractAI. We claim no ownership over your content. By uploading content, you grant us a limited license to process and analyze it solely for the purpose of providing our services to you.

5. AI Analysis Disclaimer

ContractAI's AI analysis is provided as a tool to assist legal professionals and is not a substitute for professional legal advice. The AI may not identify all risks or issues in a contract. You are responsible for reviewing and verifying all AI-generated suggestions before acting on them.

6. Subscription & Billing

Subscriptions are billed in advance on a monthly or annual basis. You agree to pay all fees associated with your selected plan. Prices are subject to change with 30 days notice. Refunds are not provided for partial billing periods, except where required by law.

7. Acceptable Use

You may not:

  • Use the service for any unlawful purpose
  • Attempt to reverse engineer, decompile, or disassemble our AI models
  • Share account credentials with unauthorized users
  • Upload malicious content or attempt to compromise system security
  • Exceed the usage limits of your subscription plan
  • Resell or redistribute the service without written consent

8. Service Level Agreement

We strive to maintain 99.9% uptime for our platform. Enterprise customers receive a formal SLA with service credits for downtime. Scheduled maintenance windows are communicated at least 48 hours in advance.

9. Limitation of Liability

To the maximum extent permitted by law, ContractAI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities arising from your use of or inability to use the service.

10. Termination

Either party may terminate the subscription at any time. Upon termination, your access to the platform will end at the close of the current billing period. You may export your data at any time before or within 90 days after termination.

11. Changes to Terms

We may update these terms from time to time. Material changes will be communicated via email or in-app notification at least 30 days before they take effect. Continued use of the service after changes constitute acceptance.

12. Governing Law

These terms are governed by the laws of the State of California, without regard to conflict of law provisions. Any disputes shall be resolved in the state or federal courts located in San Francisco County, California.
