Terms of Service

These Terms of Service ("Terms") govern your use of the VisionAI API platform and related services provided by VisionAI, Inc. ("VisionAI", "we", "our"). By accessing or using our services, you agree to be bound by these Terms.

1. Account Registration

To use our API, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your API keys and account credentials. You must notify us immediately of any unauthorized use.

2. Acceptable Use

You agree not to use VisionAI services to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights of others
• Process images of individuals without their consent where required by law
• Attempt to reverse engineer our models or algorithms
• Resell API access without authorization
• Use our services for surveillance or mass monitoring without legal basis
• Submit malicious content intended to exploit vulnerabilities

3. API Usage & Rate Limits

Your API usage is subject to the rate limits and quotas of your selected plan. We reserve the right to throttle or suspend access if usage patterns indicate abuse or threaten system stability. Exceeding rate limits will result in HTTP 429 responses.

4. Intellectual Property

You retain all rights to the images and data you submit through our API. VisionAI retains all rights to the API, models, algorithms, documentation, and platform. API outputs (detection results, classifications) may be used freely in your applications.

5. Payment Terms

Paid plans are billed monthly or annually in advance. All fees are non-refundable except as required by law. We may change pricing with 30 days' notice. Overdue amounts accrue interest at 1.5% per month.

6. Service Level Agreement

We target 99.9% uptime for the API (99.99% for Enterprise plans). If we fail to meet the SLA, eligible customers may request service credits as described in our SLA documentation. Scheduled maintenance windows are excluded from uptime calculations.

7. Data Processing

We process your data solely to provide the requested API services. For EU/EEA customers, a Data Processing Agreement (DPA) is available upon request. See our Privacy Policy for details on data handling.

8. Limitation of Liability

To the maximum extent permitted by law, VisionAI's total liability shall not exceed the fees paid by you in the 12 months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages.

9. Indemnification

You agree to indemnify and hold harmless VisionAI from claims arising from your use of the services, your violation of these Terms, or your infringement of third-party rights.

10. Termination

Either party may terminate the agreement with 30 days' written notice. We may suspend access immediately for violations of acceptable use policies. Upon termination, your API keys are revoked and account data is retained for 30 days before deletion.

11. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Disputes shall be resolved through binding arbitration in San Francisco, CA under JAMS rules.

12. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email with 30 days' notice. Continued use after changes constitutes acceptance.
