1. Acceptance of Terms

By accessing or using AI Platform's services, APIs, or website (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Services. These Terms constitute a legally binding agreement between you and AI Platform, Inc. ("AI Platform," "we," "us," or "our").

2. Description of Services

AI Platform provides artificial intelligence and machine learning services through APIs and related tools. Our Services include but are not limited to:

• Access to AI language models via API
• Model fine-tuning and customization services
• AI playground and testing environments
• Documentation and developer resources
• Enterprise deployment solutions

3. Account Registration

To use certain features of the Services, you must create an account. You agree to:

• Provide accurate, current, and complete registration information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Be responsible for all activities under your account
• Not share your API keys with unauthorized parties

4. Acceptable Use Policy

You agree not to use the Services to:

• Generate content that is illegal, harmful, threatening, abusive, harassing, defamatory, or violates any rights
• Create malware, phishing content, or tools for cyberattacks
• Generate spam or misleading content at scale
• Impersonate individuals or organizations
• Generate content that exploits, harms, or endangers minors
• Violate any applicable laws or regulations
• Attempt to reverse engineer, decompile, or extract model weights
• Circumvent rate limits or access controls
• Use the Services for competing AI model training without written permission

We reserve the right to suspend or terminate accounts that violate these policies without notice.

5. API Usage and Rate Limits

API access is subject to rate limits and usage quotas as specified in your plan. Exceeding these limits may result in throttling, additional charges, or account suspension. We may modify rate limits at any time with reasonable notice. You are responsible for implementing appropriate error handling and retry logic in your applications.

6. Fees and Payment

Certain Services require payment. By using paid Services, you agree to:

• Pay all fees associated with your usage
• Provide valid payment information
• Accept automatic billing for subscription services
• Be responsible for any applicable taxes

Fees are non-refundable except as required by law or expressly stated in these Terms. We may modify pricing with 30 days' notice.

7. Intellectual Property

Our Rights

AI Platform retains all rights, title, and interest in the Services, including our AI models, algorithms, software, and documentation. These Terms do not grant you any rights to our intellectual property except the limited license to use the Services.

Your Content

You retain ownership of the content you input into the Services ("Input") and the outputs generated by the Services based on your Input ("Output"). You grant us a limited license to process your Input to provide the Services. For API users, you own the Output generated through your API calls.

8. Data and Privacy

Our collection and use of personal information is governed by our Privacy Policy. By using the Services, you consent to such collection and use. For Enterprise customers, data handling may be governed by a separate Data Processing Agreement.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

AI-generated outputs may be inaccurate, incomplete, or biased. You are responsible for reviewing and validating all outputs before use.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AI PLATFORM SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO AI PLATFORM IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

11. Indemnification

You agree to indemnify, defend, and hold harmless AI Platform and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

12. Term and Termination

These Terms remain in effect until terminated. You may terminate your account at any time by contacting us. We may suspend or terminate your access to the Services at any time for any reason, including violation of these Terms. Upon termination, your right to use the Services ceases immediately, and we may delete your account data.

13. Changes to Terms

We may modify these Terms at any time. We will provide notice of material changes through the Services or by email. Your continued use of the Services after the effective date of any changes constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Services.

14. Governing Law and Disputes

These Terms shall be governed by the laws of the State of California, without regard to conflict of law principles. Any disputes arising from these Terms or the Services shall be resolved through binding arbitration in San Francisco, California, under the rules of the American Arbitration Association. You waive any right to participate in class actions.

15. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and AI Platform regarding the Services.
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
• Waiver: Our failure to enforce any provision is not a waiver of our right to do so later.
• Assignment: You may not assign these Terms without our consent. We may assign these Terms at any time.
