1. Acceptance of Terms

By accessing or using Syncflow ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

2. Description of Service

Syncflow is a project management and collaboration platform. We reserve the right to modify, suspend, or discontinue any part of the Service at any time with or without notice.

3. Account Registration

To use the Service, you must:

  • Be at least 13 years old (or the age of majority in your jurisdiction)
  • Provide accurate, current, and complete information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access
  • Be responsible for all activities under your account

4. Acceptable Use

You agree not to:

  • Violate any laws or regulations
  • Infringe on intellectual property rights
  • Upload malware, viruses, or harmful code
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the Service
  • Use the Service for spam or unsolicited communications
  • Impersonate others or provide false information
  • Scrape, crawl, or data mine without permission
  • Use the Service in a way that harms others

5. Your Content

You retain ownership of content you create using the Service. By uploading content, you grant us a license to:

  • Store, process, and display your content
  • Make backups and ensure service reliability
  • Provide features like search and collaboration

You are responsible for your content and must have the right to upload and use it. We may remove content that violates these terms.

6. Intellectual Property

The Service and its original content, features, and functionality are owned by Syncflow Inc. and are protected by copyright, trademark, and other laws. You may not copy, modify, distribute, or create derivative works without our permission.

7. Subscriptions and Payments

Free Plan: Available with limited features. We may change or discontinue the free plan at any time.

Paid Plans:

  • Subscriptions renew automatically
  • Prices are subject to change with 30 days notice
  • Payments are non-refundable except as required by law
  • You can cancel anytime; access continues until the end of the billing period
  • Failed payments may result in service suspension

8. Termination

We may terminate or suspend your account:

  • For violation of these Terms
  • For fraudulent or illegal activity
  • If required by law
  • At our discretion for any reason with notice

You may terminate your account at any time through your account settings. Upon termination, your right to use the Service ceases immediately.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:

  • MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE
  • UNINTERRUPTED OR ERROR-FREE OPERATION
  • ACCURACY OR RELIABILITY OF INFORMATION
  • SECURITY OR ABSENCE OF VIRUSES

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SYNCFLOW SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR SERVICE INTERRUPTION. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless Syncflow from any claims, damages, losses, or expenses arising from your use of the Service, violation of these Terms, or violation of any rights of another party.

12. Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law provisions. Any disputes shall be resolved in the courts of San Francisco County, California.

13. Changes to Terms

We may modify these Terms at any time. Material changes will be notified via email or through the Service. Continued use after changes constitutes acceptance of the new Terms.

14. Miscellaneous

Entire Agreement: These Terms constitute the entire agreement between you and Syncflow.

Severability: If any provision is found invalid, the remaining provisions continue in effect.

Waiver: Failure to enforce any right does not waive that right.

Assignment: You may not assign these Terms. We may assign them to a successor or affiliate.
